Modification of Joint Contributed Agreements. A mutually -------------------------------------------- acceptable arrangement between SSI and Newco and, if required, the other parties thereto shall have been reached with respect to the treatment of the Joint Contributed Agreements, for example with distributors who distribute both Group Products and the products of any other business of the Contributing Companies or their subsidiaries, such that Newco, SSI and its subsidiaries including IMG shall receive payments with respect to Group Products and other products, respectively, as the case may be, and the appropriate party shall be responsible for price protection, accumulated rebate credits, product returns, warranty support and similar Liabilities.
