Amend, modify or change in any manner materially adverse to the interest of the Lenders the subordination terms governing any Junior Financing; provided that such modification will not be deemed to be materially adverse if such Junior Financing could be otherwise incurred under this Agreement (including as Indebtedness that does not constitute a Junior Financing) with such terms as so modified at the time of such modification.
