Modification of Loan Agreement. The Loan Agreement is amended as follows:
a. the following definitions are hereby added to Section 1 of the Loan Agreement:
Modification of Loan Agreement. As of the date hereof, the representations and warranties set forth in the Loan Agreement are hereby affirmed to be true and correct as of the date hereof. Effective as of the date hereof, Section 1.1 of the Loan Agreement is amended by deleting the definition of "Commitment Period" in its entirety and replacing the same with the following substitute definition:

Modification of Loan Agreement. Unless otherwise specifically provided for in this Agreement, no consent, modification, amendment or waiver of any provision of this Agreement, the Notes, or the other the Loan Documents executed in conjunction herewith, nor any consent of the Bank to any variance therefrom, shall in any event be effective unless the same shall be in writing and signed by the Bank.
Modification of Loan Agreement. The Loan Agreement be and hereby is modified as follows:
A. The Termination Date as set forth in Section 13.1 is hereby deleted and replaced with the new Termination Date of October 31, 2003.
Modification of Loan Agreement. Section 10.2 of the Loan Agreement is deleted and the following is substituted in lieu thereof: “
Modification of Loan Agreement. 2.1. This Amendment Number Three is limited precisely as written and shall not be deemed to be a consent to a waiver, amendment or modification of any other term or condition of the Loan Agreement, the other Loan Documents, or any of the documents referred to therein or executed in connection therewith except as provided in Section 1 hereof, and this Amendment Number Three shall not be considered a novation.
2.2. This Amendment Number Three shall not prejudice any right or rights the Lender may now have or may have in the future under or in connection with the Loan Agreement, the other Loan Documents or any documents referred to therein or executed in connection therewith.
