MODIFICATION OF TRANSACTION AGREEMENTS; ABANDONMENT OF DISTRIBUTIONS. Notwithstanding anything to the contrary in this Agreement, the Company may in its sole discretion modify each of the Transaction Agreements relating to the Distributions and, if the Board of Directors of the Company determines in good faith that it is in the best interest of the Company to do so, abandon the Distributions.
