Common use of Modification; Prior Claims Clause in Contracts

Modification; Prior Claims. This Agreement and the Employee Proprietary Information and Inventions Agreement set forth the entire understanding of the parties with respect to the subject matter hereof, supersede all existing agreements between them concerning such subject matter, including the Original Agreement, between the Company and Executive, and may be modified only by a written instrument duly executed by each party.

Modification; Prior Claims. This Agreement and the Employee Proprietary Information and Inventions Agreement set sets forth the entire understanding of the parties with respect to the subject matter hereof, supersede supersedes all existing agreements between them concerning such subject matter, including without limitation, any offer letter between Employee and the Original Agreement, between the Company and ExecutiveCompany, and may be modified only by a written instrument duly executed by each party. No oral waiver, amendment or modification will be effective under any circumstances whatsoever.
