Common use of Modification; Survival Clause in Contracts

Modification; Survival. This Agreement contains the entire agreement of the parties relating to the subject matter hereof; provided, however, that this provision shall not be construed to affect the Company’s obligations to the Indemnitee under the Articles or the By-Laws. This Agreement may be modified only by an instrument in writing signed by both parties hereto. The provisions of this Agreement will survive the death, disability, or incapacity of the Indemnitee or the termination of the Indemnitee’s service as a director or an officer of the Company or in an Authorized Capacity of or for Another Entity and will inure to the benefit of the Indemnitee’s heirs, executors and administrators.
