Modification to Credit Agreement. The Credit Agreement is hereby amended to modify Section 7.06(d) in its entirety to read as follows:
Modification to Credit Agreement. Superior will not agree to any amendment, modification or waiver to any provision of the Credit Agreement which is adverse to the interests of the Administrative Agent or any Lender, without the prior written consent of the Administrative Agent; provided, however, that if Deutsche Bank Trust Company Americas does not have the right to consent to any amendment, modification or waiver of any Related Document, then the Administrative Agent's prior written consent to any amendment, modification or waiver to the Credit Agreement would not have to be obtained.
Modification to Credit Agreement. SECTION 1.1. The Credit Agreement is hereby amended as follows: (a) Section 1.1 of the Credit Agreement is hereby amended as follows:
Modification to Credit Agreement. Subject to the satisfaction of the conditions precedent as set forth in Section 3 hereof, the Agreement is hereby modified as set forth below.
Modification to Credit Agreement. The Credit Agreement shall be amended by deleting the definition of “Revolving Termination Date”, and replacing same with the following: “April 30, 2013”.

(i) Section 1.1(b) is hereby amended by adding the following at the end of the paragraph: The Revolving Loan shall be segregated into four separate facilities: (i) Borrowing Base Facility equal to $5,130,000; (ii) Unrestricted Facility equal to $2,220,000.; (iii) Tax Facility equal to $4,450,000.; and (iv) the Maximum ISP L/C Liability Facility in the amount of $3,200,000 (collectively, the "Facilities" and individually, a "Facility").
