Modifications; Amendments; Waivers. The terms and provisions of this Agreement may only be amended or waived either (a) with the written consent of the Company and the holders of a majority of the Registrable Shares, or (b) in a writing by the party or parties against whom such amendment or waiver is sought to be enforced.

Modifications; Amendments; Waivers. The terms and provisions of this Agreement may only not be amended modified or waived either (a) with amended, nor may any provision be waived, except pursuant to a writing signed, in the written consent case of the Company and the an amendment or modification, by holders of a majority more than 50% of the Registrable SharesShares that are entitled to registration rights hereunder, or (b) in the case of a writing waiver, by the party or parties against whom such amendment or the waiver is sought to be enforcedeffective.
