Modifications of Certain Documents. Except in connection with any transaction expressly permitted hereunder, the Company will not, nor will it permit any of its Subsidiaries to, consent to any modification, supplement or waiver of any of the provisions of any agreement, instrument or other document evidencing or relating to the charter or by-laws of the Company or any of its Subsidiaries, in each case, without the prior consent of the Agent (with the approval of the Majority Lenders). Without limiting the requirement for consent as provided in the immediately preceding sentence, the Company will furnish to the Agent a copy of each such modification, supplement or waiver promptly upon the effectiveness thereof (and the Agent will promptly furnish a copy thereof to each Lender).
