Modifications to Existing Equity Agreements. At or prior to the Initial Closing, the Investors shall have executed modifications to the equity agreements listed on Exhibit D hereto, in form and substance complying with the provisions of the Term Sheet and otherwise in form and substance acceptable to the Investors. With regard to the series of preferred stock noted on Exhibit D, such modifications shall be made by filing restated certificates of designations for such series of preferred stock. With regard to the September 8, 2000, Purchase Agreement, such modifications shall be made by a waiver to such agreement. With regard to the warrants noted on Exhibit D, such modifications shall be made by cancellation of the outstanding warrants and the reissuance of such warrants.
