MONITORING AND INFORMATION. 7.1 The Institution shall have a duty promptly to inform the Trust in writing of: 7.1.1 any form of protection sought over any Intellectual Property Rights pursuant to Clause 3.2 (and of the progress of any such application); and 7.1.2 any Exploitation or any arrangements entered into in respect of the Exploitation of any Intellectual Property Rights pursuant to Clause 4.2 and/ or 4.3; and 7.1.3 any change in either the form of protection sought or any Exploitation or arrangements for Exploitation of the Intellectual Property Rights. 7.2 With respect to Intellectual Property Rights to be exploited the Exploiting Party shall: 7.2.1 provide to the Trust copies of any signed agreements entered into and details of any patent applications, grants and abandonments (including title, filing number and date) 7.2.2 deliver at least annually an Exploitation report giving such information as the Trust may reasonably require in relation to the commercialisation activities for that year. 7.3 Information about Exploitation activities received from the Exploiting Party pursuant to this Agreement shall be kept confidential by the Trust and/or its agents. For these purposes ‘information’ includes but is not limited to any data, results, inventions, intended publications, intended or pending patent applications, designs, plans, agreements, commercial and/or financial information, whether disclosed or orally. However ‘information’ does not include information which is already in the public domain, which is otherwise lawfully known to the receiving party at the time of disclosure, is obtained lawfully from a third party or independently developed by the receiving party, or which is required to be disclosed in order to comply with a legal requirement.

MONITORING AND INFORMATION. 10.1 As per the Partnership Agreement, nominated officers will meet on a monthly basis. 10.2 The Care Trust will provide the Council with quarterly reports including the following information: a) Performance against the statutory framework b) Financial performance c) Progress reporting (by exception) d) Risks and issues 10.3 The Annual Review will form the July quarterly meeting and will include: 10.3.1 an evaluation of performance against agreed performance measures, targets and priorities; 10.3.2 review of the targets and priorities for the forthcoming year; 10.3.3 service delivery; 10.3.4 services changes proposed; 10.3.5 shared learning and apportionments for joint training; 10.3.6 an evaluation of any statistics or information required to be kept by the Department from time to time; 10.3.7 the statutory functions of each Partner which have been carried out by the other Partner using the flexibilities in Section 31 of the 1999 Act. 10.4 The Partners shall within 42 days of the annual review prepare a joint annual report documenting the matters referred to in Clause 11.3. 10.5 It is agreed between the parties that this agreement is pursuant to Clause 17 of an agreement between the parties dated 28th September 2006 for the purposes of Section 31 of the Health Act 1999 and forms part of that agreement. 10.6 The Care Trust will provide monthly monitoring reports on expenditure from pooled, non-pooled, and non-delegated functions and statistics for related service activity, with reasons for major variances. The Council will ensure that the Care Trust is provided with all necessary information to carry this out. 10.7 The Care Trust will also provide the Council with copies of all statistical information about adult social services required by the Department of Health and other external bodies, as soon as this information is available, including in particular information used to produce “performance indicators”. 10.8 The Care Trust will provide the Council with quarterly progress reports on progress in achieving compliance with the requirements of the Race Relations (Amendment) Act 2000 in adult social services. MONITORING AND INFORMATION. ‌‌ 10.1 The JVC shall submit the following reports to the AAI on a regular basis: (a) Monthly activity report (passenger traffic, aircraft movements, cargo, etc.) (b) Other operating statistics as required by MCA, AAI, ICAO, IATA and Relevant Authorities. (c) Reports on various indicators of performance measurement as specified in this Agreement (d) Quarterly financial accounts (e) Annual budget (f) Latest update of Business Plan (g) Annual maintenance program (h) If so required by the AAI, the JVC shall deliver to the AAI the daily traffic record. (i) Such other reports/ information (or analysis thereof) in relation to the Airport operations that AAI may request from time to time.

MONITORING AND INFORMATION. 7.1 Each party shall each nominate an individual to be the main point of contact for the Transition Scheme and shall inform the other in writing of any substitute. 7.2 The Charity will keep the RBG informed on any concerns, proposed amendments or extension to the Transition Scheme and shall, wherever possible, incorporate the RBG’s reasonable requests for changes to be made to the Transition Scheme, subject to these reasonable requests not increasing the costs, unless RBG funds such increase. 7.3 The Charity will meet regularly with the RBG to review and monitor the progress and quality of the work under the Transition Scheme and will submit to the RBG any reports which may be reasonably required in relation to such meetings. The Charity will also where appropriate ensure that the RBG is invited to attend any external meetings relevant to the progress of the Transition Scheme. 7.4 The Charity will co-operate fully and provide on reasonable notice all information and assistance required by the RBG, for the purpose of the RBG reviewing and evaluating the Transition Scheme, the Grant, and/or this Agreement. 7.5 The Charity will keep and maintain complete and accurate records of all matters relating to the expenditure of Grant and will provide to RBG (or its authorised representatives as appropriate) access to and copies of these records upon request from time to time. 7.6 The Charity will, at no charge to the RBG, co-operate with the RBG, and its internal audit personnel or external audit personnel from other relevant organisations in relation to any audit or investigation conducted by the RBG on the Transition Scheme and will comply promptly with all reasonable requests for information and access to premises, documents and staff, and give all other reasonable assistance (including the provision of copies of documents or copying facilities) in reviewing compliance with this Agreement and/or in inspecting or auditing records relating the Grant and/or the Charity’s overall financial position or to enable the RBG to respond to any Freedom of Information Act 2000 request in relation to the Grant or any similar request for information which the RBG is legally required to respond to. 7.7 The Charity will keep all information relating to the Grant confidential unless the RBG’s prior written consent has been obtained to the disclosure of such information. MONITORING AND INFORMATION. 6.1 The organisation will submit an annual monitoring return relating to progress of the service/project, as directed by the Council. 6.2 A representative of council may visit all associated sites quarterly to ensure the provision of goods and services are in line with this contract. 6.3 The organisation shall not restrict at any time during the contract access to any sites. For the purpose of external judging and where possible will provide representatives as required across the whole judging route. 6.4 All press releases and or reference to any funded project will either have to be based on pre agreed text or approved by both parties prior to its release. The default position will be if one or both parties cannot agree the text of any statement then nothing is to be submitted and or used. 6.5 Each party confirms that it will comply with the requirements of the Data Protection Xxx 0000 and implements the EU Data Protection Directive (95/46/EC).

The SPC shall grant to the Expert such access to the Dry Port and records and data maintained by SPC or on its behalf, as the Expert would require to supervise, monitor and ensure that the services provided at Dry Port Asset comply with the Operation and Maintenance Standards and Requirements, O&M Plan, Quality Assurance Plan and other terms of this Agreement. MONITORING AND INFORMATION. 6.1. The client and the provider jointly designate, in writing, the person in charge of monitoring the compliance with the present agreement. 6.2. The provider appoints a data protection representative (hereunder referred to as “the provider’s data protection representative,”) sufficiently reliable and qualified to fulfil his mission. Having regard to his obligations as defined in the present agreement, the data protection representative shall directly report to the provider’s management. By virtue of the present agreement, he is not bound to any information from the provider regarding data protection and the appropriate implementation of his tasks should not cause him harm. The provider’s data protection representative shall help the provider to comply with the obligations contained in the present agreement. This particularly applies to training the provider’s employees in data protection, in accordance with article 4. of the present article. The data protection representative shall attend appropriate training in general data protection once a year, to ensure that he has the necessary knowledge to perform his mission. The provider’s data protection representative commits himself to work in close collaboration with the client’s data protection representative and to follow the latter’s instructions regarding data protection, insofar as they affect data processing. The client’s data protection representative shall inform his colleague of applicable law on data protection and matching amendments. The provider’s data protection representative shall provide all available information on data protection to the ad hoc committee of the client’s EU Assembly.
