Common use of Monitoring of Eligible Foreign Custodians and Contracts Clause in Contracts

Monitoring of Eligible Foreign Custodians and Contracts. In each case in which Delegate has exercised the authority delegated under this Agreement to place Foreign Assets with an Eligible Foreign Custodian, Delegate is authorized to, and shall, on behalf of Fund, establish a system to Monitor the appropriateness of maintaining Foreign Assets with such Eligible Foreign Custodian. In each case in which Delegate has exercised the authority delegated under this Agreement to enter into a written contract governing Fund's foreign custody arrangements, Delegate is authorized to, and shall, on behalf of Fund, establish a system to Monitor the appropriateness of such contract.

Monitoring of Eligible Foreign Custodians and Contracts. In each case in which Delegate has exercised the authority delegated under this Agreement to place Foreign Assets with an Eligible Foreign Custodian, Delegate is authorized to, and shall, on behalf of Fund, establish a system to Monitor the appropriateness of maintaining Foreign Assets with such Eligible Foreign Custodian. In each case in which Delegate has exercised the authority delegated under this Agreement to enter into a written contract governing Fund's foreign custody arrangements, Delegate is authorized to, and shall, on behalf of Fund, establish a system to Monitor the appropriateness of such contract.

In each case in which Delegate has exercised the authority delegated under this Agreement to enter into a written contract governing Fund's ’s foreign custody arrangements, Delegate is authorized to, and shall, on behalf of Fund, establish a system to Monitor the appropriateness of such contract.

In each case in which Delegate Bank has exercised the authority delegated under this Agreement to place Foreign Assets with an Eligible Foreign Custodian, Delegate Bank is authorized to, and shall, on behalf of Fund, establish a system to Monitor the appropriateness of maintaining Foreign Assets with such Eligible Foreign Custodian. In each case in which Delegate Bank has exercised the authority delegated under this Agreement to enter into a written contract governing Fund's ’s foreign custody arrangements, Delegate Bank is authorized to, and shall, on behalf of Fund, establish a system to Monitor the appropriateness of such contract.

Monitoring of Eligible Foreign Custodians and Contracts. In each case in which Delegate has exercised the authority delegated under this Agreement to place Foreign Assets with an Eligible Foreign Custodian, Delegate is authorized to, and shall, on behalf of FundTrust, establish a system to Monitor the appropriateness of maintaining Foreign Assets with such Eligible Foreign Custodian. In each case in which Delegate has exercised the authority delegated under this Agreement to enter into a written contract governing FundTrust's foreign custody arrangements, Delegate is authorized to, and shall, on behalf of FundTrust, establish a system to Monitor the appropriateness of such contract.

Monitoring of Eligible Foreign Custodians and Contracts. In each case in which Delegate has exercised the authority delegated under this Agreement to place Foreign Assets with an Eligible Foreign Custodian, Delegate is authorized to, shall establish and shall, on behalf of Fund, establish maintain a system to Monitor the appropriateness of maintaining Foreign Assets with such Eligible Foreign Custodian. In each case in which Delegate has exercised the authority delegated under this Agreement to enter into a written contract governing Fund's foreign custody arrangements, Delegate is authorized to, shall establish and shall, on behalf of Fund, establish maintain a system to Monitor the appropriateness of such contract.

In each case in which Delegate has exercised the authority delegated under this Agreement to enter into a written contract governing each Fund's ’s foreign custody arrangements, Delegate is authorized to, and shall, on behalf of each Fund, establish a system to Monitor the appropriateness performance of such contract.

In each case in which the Delegate has exercised the authority delegated under this Agreement under Section 3(a) to place Foreign Assets with an Eligible Foreign Custodian, the Delegate is authorized to, and shall, shall on behalf of the Fund, establish a system to Monitor monitor the appropriateness of maintaining Foreign the Fund's Assets with such Eligible Foreign Custodian and the contract with such Eligible Foreign Custodian. In each case in which Delegate has exercised the authority delegated under this Agreement to enter into a written contract governing Fund's foreign custody arrangements, Delegate is authorized to, and shall, on behalf of Fund, establish a system to Monitor the appropriateness of such contract.

In each case in which Delegate has exercised the authority delegated under this Agreement to place Foreign Assets with an Eligible Foreign Custodian, Delegate is authorized to, and shall, on behalf of Fundthe Trust, establish a system to Monitor the appropriateness of maintaining Foreign Assets with such Eligible Foreign Custodian. In each case in which Delegate has exercised the authority delegated under this Agreement to enter into a written contract governing Fund's the Trust’s foreign custody arrangements, Delegate is authorized to, and shall, on behalf of Fundthe Trust, establish a system to Monitor the appropriateness of such contract.

In each case in which Delegate has exercised the authority delegated under this Agreement to place Foreign Assets with an Eligible Foreign Custodian, Delegate is authorized to, and shall, on behalf of Fund, establish a system to Monitor the appropriateness of maintaining Foreign Assets with such Eligible Foreign Custodian. In each case in which Delegate has exercised the authority delegated under this Agreement to enter into a written contract governing Fund's ’s foreign custody arrangements, Delegate is authorized to, and shall, on behalf of Fund, establish a system to Monitor the appropriateness of such contract.

In each case in which the Delegate has exercised the its delegated authority delegated under this Agreement to place Foreign Assets with an Eligible Foreign Custodian, the Delegate is authorized to, shall establish and shall, on behalf of Fund, establish implement a system to Monitor the appropriateness of maintaining Foreign Assets with such Eligible Foreign Custodian. In each case in which the Delegate has exercised the its delegated authority delegated under this Agreement to enter into a written contract governing Fund's the Portfolios' foreign custody arrangements, the Delegate is authorized toshall establish, implement and shall, on behalf of Fund, establish maintain a system to Monitor the appropriateness of such contract.

Monitoring of Eligible Foreign Custodians and Contracts. In each case in which Delegate has exercised the authority delegated under this Agreement to place Foreign Assets with an Eligible Foreign Custodian, Delegate is authorized to, and shall, on behalf of Fund, establish a system to Monitor (i) the appropriateness of maintaining Foreign Assets with such Eligible Foreign Custodian. In each case in which Delegate has exercised Custodian and (ii) the authority delegated under this Agreement to enter into a written contract governing Fund's foreign the custody arrangements, arrangements established by the Delegate is authorized to, and shall, on behalf of Fund, establish a system to Monitor with the appropriateness of such contractEligible Foreign Custodian.

Monitoring of Eligible Foreign Custodians and Contracts. In each case in which Delegate has exercised the authority delegated under this Agreement to place Foreign Assets with an Eligible Foreign Custodian, Delegate is authorized to, and shall, on behalf of Fund, establish a system to Monitor monitor the appropriateness of maintaining Foreign Assets with such Eligible Foreign Custodian. In each case in which Delegate has exercised the authority delegated under this Agreement to enter into a written contract governing Fund's foreign custody arrangements, Delegate is authorized to, and shall, on behalf of Fund, establish a system to Monitor the appropriateness of such contract.

In each case in which Delegate has exercised the authority delegated under this Agreement to enter into a written contract governing Fundthe Trust's foreign custody arrangements, Delegate is authorized to, and shall, on behalf of Fundthe Trust, establish a system to Monitor the appropriateness of such contract.

In each case in which the Delegate has exercised the authority delegated under this Agreement to place Foreign Assets with an Eligible Foreign Custodian, the Delegate is authorized to, and shall, on behalf of the Fund, establish a system to Monitor the appropriateness of maintaining Foreign Assets with such Eligible Foreign Custodian. In each case in which the Delegate has exercised the authority delegated under this Agreement to enter into a written contract governing the Fund's foreign custody arrangements, the Delegate is authorized to, and shall, on behalf of the Fund, establish a system to Monitor the appropriateness of such contract.

In each case in which Delegate has exercised the authority delegated under this Agreement to place Foreign Assets with an Eligible Foreign Custodian, Delegate is authorized to, and shall, on behalf of Fund, establish a system to Monitor the appropriateness of maintaining Foreign Assets with such Eligible Foreign Custodian. In each case in which Delegate has exercised the authority delegated under this Agreement to enter into a written contract governing Fund's foreign custody arrangements, Delegate is authorized to, and shall, on behalf of Fund, establish a system to Monitor the appropriateness of and the performance of such contractcontract in accordance with Rule 17f-5.
