Morphic Patents. (a) Subject to Section 8.3.1(b), as between the Parties, Morphic shall have the first right, but not the obligation, to prepare, file, prosecute, and maintain (including the responsibility to conduct and manage any interference, re-issuance, re-examination, opposition, and post-grant proceedings, including inter partes reviews and post-grant reviews) (collectively, “Prosecute” or “Prosecution”) in the Territory any Morphic Patents using counsel of its own choice.
