Common use of MORTGAGE DEEDS Clause in Contracts

MORTGAGE DEEDS. 15.1 The Servicer shall or, as the case may be, shall procure that the Transferor and/or the relevant Originator shall keep the relevant Mortgage Deeds, the relevant Insurance Policies and any other documents specifically relating to the Mortgage Loans in safe custody and shall not without the prior written consent of the Security Trustee and the CBC part with possession, custody or control of them otherwise than to a sub-agent or sub-servicer appointed pursuant to Clause 3.4 above or to a lawyer or a civil law notary for the purposes of the redemption of Mortgage Loans. 15.2 The Servicer shall or, as the case may be, shall procure that the Transferor and/or the relevant Originator shall deliver authentic copies of the relevant Mortgage Deeds to or to the order of the CBC and/or the Security Trustee upon written reasonable request made at any time and shall provide access to the relevant Mortgage Deeds, to the CBC and/or the Security Trustee and their agents at all reasonable times. The Servicer acknowledges that the Mortgage Deeds in its or, as the case may be, the Transferor's and/or the relevant Originator's possession, custody or control will be, after execution of the Pledge Agreements, held on behalf of the CBC and the Security Trustee and irrevocably waives any rights or lien which it might have therein or to which it might at any time be entitled and shall procure that the Transferor and/or the relevant Originator shall waive any rights or lien which it might have therein or to which it might at any time be entitled.

The Servicer Each Administrator acknowledges that the Mortgage Deeds in its or, as the case may be, the Transferor's and/or the relevant Originator's possession, custody or control will be, after execution of the Pledge AgreementsDeed of Charge, held on behalf to the order of the CBC Issuer and the Security Trustee and that it has no beneficial interest therein whatsoever and irrevocably waives any rights or lien which it might have therein or to which it might at any time be entitled and entitled. 15.4 Each Administrator shall procure use all reasonable endeavours to ensure that within six months from the Transferor and/or Closing Date all Mortgage Deeds are in the possession or custody, or under the control, of the relevant Originator Administrator. Where, for any reason, all such Mortgage Deeds are not in the possession or custody, or under the control of, the relevant Administrator within such six-month period, then the relevant Administrator shall waive any rights or lien which it might have therein or deliver to which it might at any time be entitledthe Issuer and the Trustee within one month of such date a schedule detailing the missing Mortgage Deeds and other such documents and their whereabouts (if then known to the relevant Administrator).
