Common use of Motions for Approval Clause in Contracts

Motions for Approval. (a) The Plaintiffs shall bring motions before the Courts as soon as practicable after the Date of Execution for orders approving the notices described in section 10.1, certifying or authorizing each of the Proceedings as a class proceeding as against the Settling Defendants (for settlement purposes only) and approving this Settlement Agreement. (b) The Order approving the notice of certification and certifying the Ontario Proceeding for settlement purposes only as referred to in section 2.2(a) shall be substantially in the form attached as Schedule B. The Order approving the Settlement Agreement referred to in section 2.2(a) shall be substantially in the form attached hereto as Schedule C. The Orders authorizing the Quebec Proceeding and approving the Settlement Agreement referred to in section 2.2(a) shall be agreed upon by the Parties and shall mirror the substance and, where possible, the form of the Ontario Orders.

(b2) The Order approving the notice of certification and Ontario order certifying the Ontario Proceeding for settlement purposes only as referred to in section 2.2(a) shall be substantially in the form attached as Schedule B. The Order and approving the Settlement Agreement referred to in section 2.2(a2.2(1) shall be substantially in the form attached hereto as Schedule C. B. The Orders Quebec and British Columbia orders authorizing or certifying the Quebec Proceeding Proceedings and approving the Settlement Agreement referred to in section 2.2(a2.2(1) shall be agreed upon by the Parties and shall mirror the substance and, where possible, the form of the Ontario Ordersorder. (3) At or before the motions described in section 2.2(1), the Ontario Plaintiffs shall bring a motion for an order to amend the Ontario Second Fresh as Amended Statement of Claim to remove Servicerite Inc. as a plaintiff and add Xxxxxxx Xxxx as a plaintiff. (4) This Settlement Agreement shall only become final on the Effective Date.

The motions regarding this Settlement Agreement shall be brought at the same time as and in conjunction with the equivalent motions regarding the MTD Settlement. (b) The Order certifying the Proceeding and approving the notice of certification and certifying settlement approval hearing as well as the Ontario Proceeding for settlement purposes only as referred to in section 2.2(a) shall be substantially in the form attached as Schedule B. The Order approving the Settlement Agreement referred to in section 2.2(a) shall be substantially in the form attached hereto as Schedule Schedules B and C. The Orders Quebec order authorizing the Quebec Proceeding Proceedings and approving the Settlement Agreement referred to in section 2.2(a) shall be agreed upon by the Parties and shall mirror the substance and, where possible, the form of the Ontario Ordersorder.

The Order and approving the Settlement Agreement referred to in section 2.2(a2.2(1) shall be substantially in the form attached hereto as Schedule C. B. The Orders Quebec and British Columbia orders authorizing or certifying the Quebec Proceeding Proceedings and approving the Settlement Agreement referred to in section 2.2(a2.2(1) shall be agreed upon by the Parties and shall mirror the substance and, where possible, the form of the Ontario Ordersorder. (3) This Settlement Agreement shall only become final on the Effective Date.
