MUFG Pre-Closing Reorganization. Following execution of this Agreement and prior to the Closing, MUFG shall (and shall procure that its Affiliates shall) implement the following pre-Closing reorganization steps (collectively and together with MUSBJ’s issuance of additional shares by allotment (kabunushi wariate), which was completed on January 20, 2010, the “MUFG Pre-Closing Reorganization”):
