Common use of Mutilated, Destroyed, Lost or Stolen Rights Certificates Clause in Contracts

Mutilated, Destroyed, Lost or Stolen Rights Certificates. Subject to the provisions of Section 7(e), Section 11(a)(ii) and Section 24, at any time after the Distribution Date and prior to the Expiration Date, upon receipt by the Company and the Rights Agent of evidence reasonably satisfactory to them of the loss, theft, destruction or mutilation of a Rights Certificate and such additional evidence of the identity of the Beneficial Owner (or former Beneficial Owner) or Affiliates or Associates thereof as the Company or the Rights Agent may request, and, in case of loss, theft or destruction, of indemnity or security reasonably satisfactory to them, and reimbursement to the Company and the Rights Agent of all reasonable expenses incidental thereto, and upon surrender to the Rights Agent and cancellation of the Rights Certificate if mutilated, the Company will make and deliver a new Rights Certificate of like tenor to the Rights Agent for countersignature and delivery to the registered holder in lieu of the Rights Certificate so lost, stolen, destroyed or mutilated. Every new Rights Certificate issued pursuant to this Section 6(b) in lieu of any lost, stolen, destroyed or mutilated Rights Certificate will evidence an original additional contractual obligation of the Company, whether or not the lost, stolen, destroyed or mutilated Rights Certificate will be at any time enforceable by anyone, and, subject to Section 7(e) will be entitled to all the benefits of this Agreement equally and proportionately with any and all other Rights duly issued hereunder.

Every new Rights Certificate issued pursuant to this Section 6(b) in lieu of any lost, stolen, destroyed or mutilated Rights Certificate will evidence an original additional a contractual obligation of the Company, whether or not the lost, stolen, destroyed or mutilated Rights Certificate will be at any time enforceable by anyone, and, subject to Section 7(e) ), will be entitled to all the benefits of this Agreement equally and proportionately with any and all other Rights duly issued hereunderunder this Agreement.

Mutilated, Destroyed, Lost or Stolen Rights Certificates. Subject (a) If any mutilated Rights Certificate is surrendered to the Rights Agent prior to the earlier to occur of the Expiration Time, the time at which the Rights are exercised pursuant to Section 2.5 and the time at which Rights are exchanged pursuant to the provisions of Section 7(e)3.2, Section 11(a)(ii) and Section 24, at any time after the Distribution Date and prior to the Expiration Date, upon receipt by the Company shall execute and the Rights Agent of evidence reasonably satisfactory to them of the loss, theft, destruction or mutilation of shall countersign and deliver in exchange therefor a new Rights Certificate and such additional evidence evidencing the same number of the identity of the Beneficial Owner (or former Beneficial Owner) or Affiliates or Associates thereof Rights as the Company or did the Rights Agent may request, and, in case of loss, theft or destruction, of indemnity or security reasonably satisfactory to them, and reimbursement Certificate so surrendered. Every new Rights Certificate issued pursuant to this Section 6(b) in lieu of any lost, stolen, destroyed or mutilated Rights Certificate will evidence an original additional contractual obligation of the Company, whether or not the lost, stolen, destroyed or mutilated Rights Certificate will be at any time enforceable by anyone, and, subject to Section 7(e) will be entitled to all the benefits of this Agreement equally and proportionately with any and all other Rights duly issued hereunder.

Every new Rights Certificate issued pursuant to this Section 6(b) in lieu of any lost, stolen, destroyed or mutilated Rights Certificate will evidence an original additional contractual obligation of the Company, whether or not the lost, stolen, destroyed or mutilated Rights Certificate will be at any time enforceable by anyone, and, subject to the provisions of Section 7(e), Section 11(a)(ii) and Section 24, will be entitled to all the benefits of this Agreement Plan equally and proportionately with any and all other Rights duly issued hereunder.

Mutilated, Destroyed, Lost or Stolen Rights Certificates.
