Mutual Cooperation by Seller and Buyer. After the Closing Date, Seller and Buyer shall, and each shall cause their respective Affiliates to, cooperate with the other party and its Affiliates to provide such current information regarding the Business Employees or former employees of the Company on an ongoing basis as may be necessary to facilitate determinations of eligibility for, and payments of benefits to, such employees (and their spouses and dependents, as applicable) under the Seller Employee Benefit Plans and the Company Benefit Plans, as applicable.
