Mutual Indemnification; Costs. Each party ("indemnitor") covenants and agrees to pay, and to indemnify the other ("indemnitee") against, all costs and charges, including reasonable counsel fees, incurred by the indemnitee in enforcing any agreement or covenant of the indemnitor herein contained, provided the indemnitee prevails in any action or proceeding (except arbitration) brought to secure such enforcement.
