Common use of Mutual Representations Clause in Contracts

Mutual Representations. The parties mutually represent and warrant, each to the other, that: a. This Policy is its legal, valid and binding obligation, enforceable in accordance with its terms, subject to applicable bankruptcy, insolvency, reorganization, moratorium or other laws affecting creditor’s rights, and subject, as to enforceability, to general principals of equity, regardless of whether enforcement is sought in proceeding in equity or law; b. It has the power to enter into this Policy and to consummate the transactions contemplated hereby; c. All information provided in connection with this Policy is, to the best of its knowledge and belief, true, correct and complete; d. The execution and the delivery of this Policy and the performance of obligations hereunder do not and will not constitute or result in a default, breach or violation, of the terms or provisions of its certificate, articles or charter of incorporation, declaration of trust, by-laws or any agreement, instrument, mortgage, judgment, injunction or order applicable to it or any of its property.
