Common use of Mutual Warranty Clause in Contracts

Mutual Warranty. Each party represents, warrants and covenants that: (a) it has the full power and authority to enter into the Agreement and to perform its obligations hereunder, without the need for any consents, approvals or immunities not yet obtained; and (b) its acceptance of and performance under the Agreement will not breach any agreement with any third party or any obligation owed by it to any third party.

Mutual Warranty. Each party represents, warrants and covenants that: represents to the other that (ai) it has the full corporate power and authority to enter into and carry out its obligations under this Agreement, and (ii) the execution and delivery of the Agreement by such party, and to perform the performance by such party of its obligations hereunderpursuant to the Agreement, without the need for any consents, approvals or immunities not yet obtained; and (b) its acceptance of and performance under the Agreement will not breach result in any material violation of or constitute a default under, any material agreement with any third or obligation to which such party or any obligation owed by it to any third partyis currently bound.

Mutual Warranty. Each party represents, warrants and covenants that: (ai) it has the full power and authority to enter into the Agreement and to perform its obligations hereunderunder this Agreement and Order Form, without the need for any consents, approvals or immunities not yet obtained; and (bii) its acceptance of and performance under the this Agreement or Order Form will not breach any oral or written agreement with any third party or any obligation owed by it to any third partyparty to keep any information or materials in confidence or in trust.

Mutual Warranty. Each party represents, hereby represents and warrants and covenants to the other that: (a) it such party has the full power right, power, and authority to enter into the this Agreement and to fully perform all of its obligations hereunder, without the need for any consents, approvals or immunities not yet obtained; and (b) its acceptance of entering into this Agreement does not and performance under the Agreement will not breach violate any agreement with any third or obligation existing between such party or any obligation owed by it to and any third party.
