The Shares being sold hereunder by the Company will have been conditionally approved for listing and posting for trading on the TSX by no later than the Representation Date, subject only to the satisfaction of customary conditions to be outlined in the conditional approval letter of the TSX. The Nasdaq has been or will have been notified and has completed or will have completed its review of the offer and sale of the Shares hereunder by no later than the Representation Date.
