NASDAQ Listing; Reverse Stock Split. Within one year after the Closing Date, the Company shall cause to be filed an application with The NASDAQ Stock Market LLC to list the Common Stock on the NASDAQ Capital Market. The Company will use its reasonable best efforts to cause the Common Stock to be listed on the NASDAQ Capital Market as soon as practicable after filing such application. In connection with applying to list the Common Stock on the NASDAQ Capital Market, the Company will use commercially reasonable efforts to cause to be effected a reverse stock split (including any shareholder approvals in connection therewith), at a ratio sufficient to satisfy the minimum bid price requirements for listing the Common Stock on the NASDAQ Capital Market after giving effect to such stock split and in any event at a ratio of not less than one-for-five.
