The Nasdaq Market Listing clause establishes requirements or conditions related to a company's securities being listed on the Nasdaq stock exchange. Nasdaq Market Listing. As of the date of this Agreement, the Common Stock is listed on the NASDAQ Global Select Market. The Company has taken no action designed to delist, or that is reasonably likely to have the effect of delisting, the Common Stock from the NASDAQ Global Select Market, and the Company has undertaken commercially reasonable efforts to maintain such listing of its Common Stock. The Company has obtained or will have obtained, or has made or will have made, as applicable, all necessary consents, approvals, authorizations or orders of, or filings, notifications or registrations with, the Principal Market that are required for the listing and trading of the Underlying Shares on the Principal Market. Upon receipt of the Shareholder Approvals, the execution, delivery and performance of this Agreement and the issuance of the Notes and Warrants will not conflict with or result in a breach of any of the terms, conditions or provisions of the rules and regulations of the Principal Market.
Nasdaq Market Listing. The shares of Parent Common Stock issuable --------------------- to the Company's securityholders pursuant to Article II and Section 5.6(b), shall have been approved for listing on the Nasdaq National Market, subject to official notice of issuance.
