Common use of NASDAQ/NMS Clause in Contracts

NASDAQ/NMS. The Company agrees to have Units listed and available for quotation on the NASDAQ Small Cap Market on the effective date of the Registration Statement. Subject to the Company s ability to meet the maintenance requirements of the NASDAQ Small Cap Market on the Detachment Date, the Company agrees to have its Common Stock and the Class A Warrants listed and available for quotation on the NASDAQ Small Cap Market on the Detachment Date and to delist the Units from quotation on the NASDAQ Small Cap Market at the same time as the Common Stock and Class A Warrants become listed for quotation on the NASDAQ Small Cap Market. The trading symbols shall be mutually agreeable to the Company and the Representative. As soon as the Company meets the qualifications required with respect thereto, the Company will designate its securities for inclusion on the NASDAQ/NMS or, in the alternative, such national stock exchange as is agreed to between the Company and the Representative.
