Common use of Nasdaq Quotation Clause in Contracts

Nasdaq Quotation. Each of Company and Parent agrees to use all requisite commercially reasonable efforts to continue the quotation of Company Common Stock and Parent Common Stock, respectively, on the Nasdaq National Market, during the term of this Agreement so that appraisal rights will not be available to stockholders of Company under Section 262 of the DGCL. Parent shall use all requisite commercially reasonable efforts to cause the shares of Parent Common Stock to be issued in the Merger to be approved for quotation on the Nasdaq National Market, subject to official notice of issuance, prior to the Closing Date, to the extent such approval is then required under applicable law, SEC regulations and Nasdaq National Market rules.
