Common use of Nature of deed poll Clause in Contracts

Nature of deed poll. Xxxxxx and Nominee acknowledge and agree that: (a) this deed poll may be relied on and enforced by any Scheme Shareholder in accordance with its terms even though the Scheme Shareholders are not party to it; and (b) under the Scheme, each Scheme Shareholder irrevocably appoints Target and each of its directors, officers and secretaries (jointly and each of them severally) as its agent and attorney to enforce this deed poll against Xxxxxx and Nominee.
