Nature of Services. The Investment Manager shall manage the investment operations of the Company and the composition of the company’s holdings of securities and investments, including cash, the purchase, retention and disposition thereof and agreements relating thereto, in accordance with (a) the investment guidelines and procedures contained in the Memorandum and Articles, and (b) the Fund’s investment policies, restrictions and guidelines.
