Necessary Action; Notice. Prior to the Merger, the Company shall take any and all actions reasonably necessary to effectuate the provisions of this Section 3.05, including, without limitation, adopting such resolutions that are necessary for the treatment of Company Options, Company RSUs, and Company Long-Term Overachievement Awards as set forth in this Section 3.05.
