Necessary Governmental Approvals. All Permits and actions of or by all Governmental Authorities which are necessary to consummate the transactions contemplated hereby or are necessary to allow Buyer to operate the Business from and after the Closing as currently conducted shall have been obtained or taken place, other than those as to which the failure to have been obtained or taken place would not reasonably be expected to have a Material Adverse Effect.
