Except as may be set forth in Schedule 3.13 and the other Schedules hereto, the properties and assets owned, leased by or licensed to the Company or any of its Subsidiaries and reflected in the Current Financial Statements and any properties or assets acquired since February 28, 1999, constitute all of the material real and personal properties, tangible and intangible, which are necessary, used or useful in the conduct of its business in the manner and to the extent presently conducted by them.
