Necessity to Become Holder of Record. Neither Employee nor his/her ------------------------------------ estate, as provided in Section 3(c), shall have any rights as a stockholder with respect to any shares covered by the Options until such person shall have become the holder of record of such shares. No adjustment shall be made for cash dividends or cash distributions, ordinary or extraordinary, in respect of such shares for which the record date is prior to the date on which he/she shall become the holder of record thereof.
