Common use of Need for Additional Funds; Future Dilution Clause in Contracts

Need for Additional Funds; Future Dilution. The Company will require significant additional funds in order to bring the Company’s products and services to market. To the extent that the funds generated by this offering together with existing resources and any future earnings or credit facilities are insufficient to fund the Company’s activities, the Company may adversely affect the current shareholders by diluting the shareholders’ interests in the Company. It is difficult to estimate the exact funds necessary to develop a finished product. No assurance can be given that additional financing will be available or that, if available, it will be obtained on terms favorable to the Company. If adequate funds are not available, the Company may have to reduce developing, manufacturing and marketing activities and services, which could have a material adverse effect on the Company’s business, or discontinue operations entirely.
