Common use of Neeleman’s Right of First Offer Clause in Contracts

Neeleman’s Right of First Offer. In the event that TRIP’s Shareholders intend to dispose of any of their Bound Common Shares (the “ TRIP’s Shareholders’ Offered Shares”) TRIP’s Shareholders shall, primarily, before making any offer to any third party, inform and notify Neeleman in writing of such intention, specifying the terms and conditions under which they intend to transfer the Offered Shares, including the number of Offered Shares, the respective price per share, the payment terms and other relevant conditions of the desired transfer (the “TRIP’s Shareholders’ Transfer Notice”).
