Negative Pledge Agreements. Create, incur, assume or permit to exist any contract, agreement or understanding (other than this Agreement and the Loan Documents and documents evidencing Debt permitted under this Agreement and Permitted Encumbrances) that in any way prohibits or restricts the granting, conveying, creation or imposition of any Lien upon any property or assets or restricts any Person from paying dividends or distributions to Borrower, or which requires the consent of or notice to other Persons in connection therewith.
