Common use of Negative Pledge Agreements Clause in Contracts

Negative Pledge Agreements. The Borrower shall not and shall not permit any of Guarantor to create, incur, assume or permit to exist any contract, agreement or understanding (other than this Agreement and the Security Instruments) which in any way prohibits or restricts the granting, conveying, creation or imposition of any Lien on any of its Property or restricts any Guarantor from paying dividends to the Borrower, or which requires the consent of or notice to other Persons in connection therewith.

Negative Pledge Agreements. The Borrower shall not not, and shall not permit any of Guarantor Kinder Xxxxxx X.X. to create, incur, assume or permit suffer to exist any contract, agreement or understanding (other than this Agreement and the Security Instruments) which in any way prohibits or restricts the granting, conveying, creation or imposition of any Lien on any of its Property or restricts any Guarantor Subsidiary from paying dividends to the Borrower, or which requires the consent of or notice to other Persons in connection therewith.

The Borrower shall not and shall not permit any of Guarantor its Subsidiary Guarantors to create, incur, assume or permit to exist any contract, agreement or understanding (other than this Agreement and the Security Instruments) which in any way prohibits or restricts the granting, conveying, creation or imposition of any Lien on any of its Property or restricts any Subsidiary Guarantor from paying dividends to the Borrower, or which requires the consent of or notice to other Persons in connection therewith.

The Borrower shall Guarantor will not and shall will not permit any of Guarantor its Subsidiaries to create, incur, assume or permit suffer to exist any contract, agreement or understanding (other than this Agreement the Loan Documents, the Indenture and the Security Instrumentsdocuments described in Section 4.01(a) through (d) of the Indenture, and any other documents establishing Liens permitted under Sections 5.2(b)(4) and (5)) which in any way prohibits or restricts the granting, conveying, creation or imposition of any Lien on any of its Property or restricts any Guarantor from paying dividends to the Borrower, or which requires the consent of or notice to other Persons in connection therewith.
