Common use of Net Cash Flow from Operations Clause in Contracts

Net Cash Flow from Operations. Except as otherwise provided in Section 12.2 (on liquidation) hereof, and subject to the mandatory tax distribution set forth in Section 7.4 hereof, Net Cash Flow from Operations shall be distributed with respect to a Fiscal Year at times determined by the Manager in the following order and priority: a. First, to the Members in proportion to and until each Member has received an amount equal to the excess, if any, of such Member’s cumulative Priority Return (as defined in Section 7.3 hereof) from the inception of the Company to the end of such Fiscal Year, over the sum of all prior distributions to such Member pursuant to this Section 7.1(a) or Section 7.2(a) hereof; and b. The balance, if any, to each Member, pro rata in proportion to such Member’s Units.

First, to the Members in proportion to and until each Member has received an amount equal to the excess, if any, of such Member’s 's cumulative Priority Return (as defined in Section 7.3 hereof7.3) from the inception of the Company to the end of such Fiscal Year, over the sum of all prior distributions to such Member pursuant to this Section 7.1(a) or and Section 7.2(a) hereof); and b. The Second, the balance, if any, to each Member, pro rata the Members in proportion to such Member’s their Units.

First, to the Members in proportion to and until each Member has received an amount equal to the excess, if any, of such Member’s 's cumulative Priority Return (as defined in Section 7.3 hereofbelow) from the inception of the Company to the end of such Fiscal Year, over the sum of all prior distributions to such Member pursuant to this Section 7.1(a) or Section 7.2(a) hereof; and b.
