Net Indemnity. The amount of any Losses from and against which either party is liable to indemnify, reimburse, defend and hold harmless the other party or 32 any other person pursuant to Section 9.2 or Section 9.3 shall be reduced by any insurance or other recoveries or any tax benefit that such indemnified person realizes or may realize as a result of or in connection with such Loss and increased by any taxes such indemnified person realizes or may realize in respect of indemnification for such Loss.
