Net Revenue Generated by Clicks. Starting on July 1, 2007 and continuing throughout the Term, Orbitz will pay Kayak a share of Net Revenue for Orbitz Domestic Online Travel Agencies (“Orbitz Domestic OTA Net Revenue Share Fee”) and for the Ebookers Sites (“Ebookers Net Revenue Share Fee”) in accordance with Exhibit E. The Orbitz Domestic OTA Net Revenue Share Fee and Ebookers Net Revenue Share Fee will be calculated using 30-Day Look Back Tracking. Kayak shall provide Orbitz with a monthly invoice for the Orbitz Domestic OTA Net Revenue Share Fee and the Ebookers Net Revenue Share Fee based on the data provided in accordance with Section 5.4(b) below.
