Network Affiliation Agreements. Set forth on Schedule 6.21 hereto is a list, as of the Effective Date, of each effective Network Affiliation Agreement and the expiration date therefor.
Network Affiliation Agreements. Each of the network affiliation agreements between the broadcast television stations owned or operated by the Company or any of its subsidiaries and CBS Television Network, NBC TV Network, American Broadcasting Companies, Inc., FOX Broadcasting Company, The CW and MyNetworkTV, respectively, have been duly authorized, executed and delivered by the Company or the subsidiary and constitute valid and legally binding agreements of the respective parties thereto.

Network Affiliation Agreements. All network affiliation agreements or other contracts of the Stations with any television broadcast network (collectively, the "Network Agreements") including, without limitation, those listed on Schedule 2.1.8.
Network Affiliation Agreements. Each of the network affiliation agreements between the broadcast television stations owned or operated by the Nexstar Parties, the Guarantors or any of their respective subsidiaries and the applicable networks have been duly authorized, executed and delivered by the Nexstar Parties, the Guarantors or the respective subsidiaries and constitute valid and legally binding agreements of the respective parties thereto.
Network Affiliation Agreements. LIN and its subsidiaries shall have received any necessary consents required as a result of the Merger and transactions contemplated by this Agreement with respect to each Network Affiliation Agreement relating to a LIN Licensed Facility, a true and correct list of which is set forth in the LIN Disclosure Letter.

The network affiliation agreements between each of the broadcast television stations owned or operated by the Company, on the one hand, and each of the Networks, on the other hand, (the "Network Affiliation Agreements") have been duly authorized, executed and delivered by the Company (or a wholly owned subsidiary thereof) and constitute valid and legally binding agreements of the respective parties thereto and the description of such network affiliation agreements contained in the Offering Memorandum is a fair and accurate summary thereof. The Company has not received any notice of (or notice alleging) default, non-compliance or future termination with respect to any Network Affiliation Agreement. For purposes of this Agreement, "Network" shall mean one or more of NBC, American Broadcasting Company, CBS, Inc., WB Television Network, Fox Broadcasting Company or United Paramount Network, or an affiliate of any of the preceding.

Network Affiliation Agreements. Each member of the Granite Group shall use commercially reasonable efforts to: (a) maintain in full force and effect its current television Network affiliation agreement with CBS, Inc. ("CBS") applicable to WWMT (the "CBS Affiliation Agreement"); (b) promptly notify CBS of the application filed with the FCC for consent to the assignment of the WWMT Licenses; and (c) cooperate with Buyer to obtain, as soon as practicable, the consent of CBS to the assignment of the CBS Affiliation Agreement to Buyer at the Closing. Each member of the Granite Group shall use commercially reasonable efforts to: (a) maintain in full force and effect its current television Network affiliation agreement with American Broadcasting Company ("ABC") applicable to WLAJ (the "ABC Affiliation Agreement"); (b) promptly notify ABC of the application filed with the FCC for consent to the assignment of the WLAJ Licenses; and (c) cooperate with Buyer in Buyer's efforts to obtain, as soon as practicable, the consent of ABC to the assignment of the ABC Affiliation Agreement to Buyer at the closing.
