A Network Affiliation Agreement is a contract that establishes the relationship between a television network and a local broadcast station, allowing the station to air the network’s programming. Network Affiliation Agreements. LIN and its subsidiaries shall have received any necessary consents required as a result of the Merger and transactions contemplated by this Agreement with respect to each Network Affiliation Agreement relating to a LIN Licensed Facility, a true and correct list of which is set forth in the LIN Disclosure Letter.
Network Affiliation Agreements. All network affiliation agreements or other contracts of the Stations with any television broadcast network (collectively, the "Network Agreements") including, without limitation, those listed on Schedule 2.1.8.
Network Affiliation Agreements. Each of the network affiliation agreements between the broadcast television stations owned or operated by the Nexstar Parties, the Guarantors or any of their respective subsidiaries and the applicable networks have been duly authorized, executed and delivered by the Nexstar Parties, the Guarantors or the respective subsidiaries and constitute valid and legally binding agreements of the respective parties thereto.
Network Affiliation Agreements. Each of the network affiliation agreements between the broadcast television stations owned or operated by the Issuers, the Guarantors or any of their respective subsidiaries and CBS Television Network, NBC TV Network, American Broadcasting Companies, Inc., FOX Broadcasting Company, United Paramount Network, The CW and MyNetworkTV, respectively, have been duly authorized, executed and delivered by the Issuers, the Guarantor or the respective subsidiary and constitute valid and legally binding agreements of the respective parties thereto.
Network Affiliation Agreements. All network affiliation agreements and other contracts of the Stations of the Transferring Party with a television broadcast network (collectively, the "Network Agreements") including, without limitation, those listed on Schedule 2.3.8.
Network Affiliation Agreements. (a) Set forth on SCHEDULE 4.25 hereto is a complete and accurate list of all Network Affiliation Agreements and Cable Carriage Agreements of the Borrower and each of its Subsidiaries.
(b) The execution, delivery and performance by the Borrower and each of its Subsidiaries of the Network Affiliation Agreements and Cable Carriage Agreements to which it is a party and the consummation of the transactions contemplated thereby by such Person:
(i) do not and will not (A) contravene or violate the Borrower's or any of its Subsidiaries' respective Constituent Documents, (B) violate any other Requirement of Law applicable to the Borrower or any of its Subsidiaries, or any order or decree of any Governmental Authority or arbitrator, (C) conflict with or result in the breach of, or constitute a default under, or result in or permit the termination or acceleration of, any Contractual Obligation of the Borrower or any of its Subsidiaries, except for those that in the aggregate would not have a Material Adverse Effect or (D) result in the creation or imposition of any Lien upon any of the property of the Borrower or any of its Subsidiaries other than the KBWB Lien and the KNTV Call Right; and
(ii) do not require the consent of, authorization by, approval of, notice to, or filing or registration with, any Governmental Authority or any other Person, other than those which will have been obtained at the Effective Date, each of which will be in full force and effect on the Effective Date, other than in connection with the exercise by NBC of its rights and remedies with respect to the KBWB Lien or the KNTV Call Right.
(c) Each of the Network Affiliation Agreements and Cable Carriage Agreements has been, or at the Effective Date will have been, duly executed and delivered by the Loan Party that is party thereto and at the Effective Date will be the legal, valid and binding obligation of such Loan Party, enforceable against such Loan Party in accordance with its terms.
(d) None of the Network Affiliation Agreements or Cable Carriage Agreements has been amended or modified in any respect and no provision therein has been waived, except in each case to the extent permitted by SECTION 8.11, and each of the representations and warranties therein is true and correct in all material respects and no default or event which with the giving of notice or lapse of time or both would be a default has occurred thereunder.
