Common use of New Common Units Clause in Contracts

New Common Units. The New Common Units being issued at Closing, when issued in consideration for the contribution by Alon Assets of the Contributed Interests as provided by this Agreement, will be duly authorized, validly issued, fully paid (to the extent required by the Partnership’s Organizational Documents) and nonassessable (except as such nonassessability may be affected by the Delaware Revised Uniform Limited Partnership Act) and free of any preemptive or similar rights (other than those set forth in the Partnership’s limited partnership agreement).

New Common Units. The New Common Units being issued at Closing, when issued in consideration for the contribution by Alon Assets Antero of the Contributed Interests Assets as provided by this Agreement, will be duly authorized, validly issued, fully paid (to the extent required by the Partnership’s Organizational Documents) and nonassessable (except as such nonassessability may be affected by the Delaware Revised Uniform Limited Partnership Act) and free of any preemptive or similar rights (other than those set forth in the Partnership’s limited partnership agreement).
