Common use of New Laws or Requirements Clause in Contracts

New Laws or Requirements. If, during the term of this Agreement, any federal, state or local government body or agency, or any court or administrative tribunal, passes, issues, or promulgates any law, rule, regulation, standard, interpretation, order, decision or judgment which, in the good faith judgment of either party: (a) causes one or both of the parties to be in violation of any applicable law, rule or regulation as a result of this Agreement, (b) restricts, limits, or in any way substantially changes the method or amount of payment for Services, or (c) otherwise materially and adversely affects either party’s rights or obligations under this Agreement, then the affected party may give the other party notice of the problem and of its intent to amend this Agreement so as to eliminate the problem. The parties shall then negotiate in good faith to resolve the problem while at the same time preserving, to the fullest extent possible, the substance of this Agreement.
