New Section 9. 16. Section 9 of the Credit Agreement is hereby amended by adding at the end of such Section the following new Section 9.16:

New Section 9. 20. Article IX of the Credit Agreement is hereby amended by adding a new Section 9.20 immediately following Section 9.19 that reads in its entirety as follows:

New Section 9. 12(K). A new Section 9.12(k) is hereby added to read as follow:
New Section 9. Effective as of the Effective Date, the following new Section 9 shall be inserted into the Employment Agreement. In the event of an inconsistency between this new Section 9 and the remaining provisions of the Employment Agreement, Section 9 shall govern.
New Section 9. There shall be added to the Agreement as new Section 22, the following:
New Section 9. 21 (Supported QFC). The following is hereby added to the Credit Agreement as new Section 9.21: Fifth Amendment to Amended and Restated Credit Agreement
New Section 9. 10. Article 9 of the Purchase Agreement is hereby amended by inserting the following new Section 9.10:
New Section 9. 1.5. A new Section 9.1.5 is added as follows: “Seller executing a termination of the Hotel Management Agreement.”
