Common use of New Shared Commercial Product Patent Rights and New Biopharma Patent Rights Clause in Contracts

New Shared Commercial Product Patent Rights and New Biopharma Patent Rights. Subject to the terms and conditions of this Agreement, the Company hereby grants, and shall cause each Company Licensee to grant, to the applicable Pfizer Licensor a royalty-free, fully paid-up, sublicensable, exclusive license in, to and under the New Shared Commercial Product Patent Rights and New Biopharma Patent Rights that are owned by such Company Licensee for all uses in the Pfizer Field in the Territory.

New Shared Commercial Product Patent Rights and New Biopharma Patent Rights. Subject Notwithstanding Section 12.1.1, as between the Pfizer Licensors and the Company Licensees, (a) a Company Licensee shall own and retain all right, title, and interest in, to, and under all New Shared Commercial Product IP and New Biopharma Product IP that relates exclusively to the terms and conditions of this Agreement, the Company hereby grantsField, and shall cause each Company Licensee to grant, to the applicable (b) a Pfizer Licensor a royalty-freeshall own and retain all right, fully paid-up, sublicensable, exclusive license title and interest in, to and under the all other New Shared Commercial Product Patent Rights IP and New Biopharma Patent Rights that are owned by such Company Licensee for all uses in the Pfizer Field in the TerritoryIP.
