New Technology Development Sample Clauses
The New Technology Development clause defines how new inventions, processes, or technologies created during the course of an agreement will be handled between the parties. It typically outlines ownership rights, responsibilities for disclosure, and procedures for protecting intellectual property that arises from joint or individual efforts. This clause ensures that both parties understand who will own or have access to any new technology developed, thereby preventing disputes and clarifying expectations regarding innovation and proprietary rights.
New Technology Development. (a) Immediately after the Effective Date, each Party shall designate three (3) appropriate individuals who will constitute the Common R&D Representatives. The Common R&D Representatives will meet regularly (quarterly) to review, discuss and determine direction of NAND future project plans and SanDisk participation in the Development Work (as defined in the Common R&D Agreement). SanDisk will send, and Toshiba will receive, such number of SanDisk Personnel as are mutually agreed upon, at AMC or other Toshiba facilities during the term of the Common R&D Agreement in order for SanDisk to participate in the Development Work. The Parties have agreed to encourage utilization of tool vendors to perform Development Work where it is effective to do so.
(b) Provided Toshiba continues to develop and advance NAND Flash Memory technology for the benefit of both parties pursuant to the FVC Japan Operative Documents, the FP Operative Documents, the FA Operative Documents and the other Joint Operative Documents, SanDisk agrees to share Toshiba’s Common R&D expenditures and shall pay to Toshiba its portion of such Common R&D expenditures as detailed in the Common R&D Agreement.
New Technology Development. Responsible for developing and implementing strategic and tactical initiatives that generate intellectual property. Assures the development of new technologies for new products, tooling, and automation approaches. Participates in periodic design reviews of technology development. Strategic Planning: Contributes to the development, communication, and implementation of technology initiatives supporting the corporate direction. Participates in strategic planning of technology roadmaps. May attend and participate in industry trade shows, key customer account visits and conduct background research that is used in the development of technology roadmaps or other initiatives. Able to discern critical charistics and value propositions in the eye of the Customer and relative to competition. Invention: Able to generate new technology and product concepts from scratch. Contributes ideas directly and is able to evaluate the strengths and weaknesses of various approaches. Engineering: Able to provide a hands on engineering approach through calculation, modeling, fabrication and testing. Identifies critical parameters and coordinates the appropriate design of experiments. Coworker Training: Provides training and assures the appropriate implementation of new technology. Develops design guides and applicable analysis tools as necessary to enable efficient implementation across the engineering organization.
