Newco Organizational Documents. The parties shall take all requisite action to ensure and cause, as of the Effective Time, the Newco’s Organizational Documents to be in the form that is mutually agreed to by the Company and Boulevard and included as an exhibit to the Proxy Statement/Prospectus.

Newco Organizational Documents. Prior to the filing of the Conversion Registration Statement, NEWCO will be a corporation duly organized and in good standing or legal existence, as appropriate, under the laws of the jurisdiction in which it is organized with full corporate power and authority to own or lease all of its properties and assets and to carry on its business as then conducted and shall be duly licensed or qualified to do business and be in good standing or legal existence, as appropriate, in each jurisdiction in which its ownership or leasing of property or the conduct of its business requires such licensing or qualification. Promptly following the organization of NEWCO, the Board of Directors thereof shall approve this Agreement and the transactions contemplated hereby, and NHSB shall cause NEWCO to execute and deliver an appropriate instrument of accession to this Agreement, whereupon NEWCO shall become a party to, and be bound by, this Agreement. On the Effective Date, NEWCO will be a bank holding company under the BHCA.

Newco Organizational Documents. On the Closing Date, the Seller shall deliver to the Purchaser true, correct and complete copies of the Newco Organizational Documents and any and all amendments, modifications or supplements thereto and the corporate books and records of Newco as the same shall exist on the Closing Date.

  • Changes in Organizational Documents Each of the Loan Parties shall not amend, modify or change its certificate of incorporation (including any provisions or resolutions relating to capital stock), constitution, by-laws, certificate of limited partnership, partnership agreement, certificate of formation, limited liability company agreement or other organizational documents in any manner materially adverse to the interests of the Lenders without obtaining the prior written consent of the Required Lenders.

  • Fiscal Year; Organizational Documents No Credit Party will, nor will it permit its Subsidiaries to, (a) change its fiscal year or (b) in any manner that would reasonably be likely to adversely affect the rights of the Lenders, change its articles or certificate of incorporation or its bylaws.
