NGA Stockholders’ Approval. The NGA Proposal set forth in clause (i) of the definition thereof shall have been approved and adopted by the requisite affirmative vote of the stockholders of NGA in accordance with the Proxy Statement, the DGCL and the NGA Organizational Documents.
