No Ability to Bind Other Party. Neither Party shall have the authority to bind the other by contract or otherwise or make any representations or guarantees on behalf of the other. The relationship arising from this Agreement shall be, and shall at all times remain that of an independent contractor, and does not constitute an agency, joint venture, partnership, employee relationship or franchise.
