Common use of No Action or Proceedings Clause in Contracts

No Action or Proceedings. No statute, rule, regulations, decree, order or injunction shall have been promulgated, enacted or entered by any Governmental Agency or judicial authority and be in effect which would prohibit the consummation of the transactions contemplated by this Agreement and no action or proceeding by or before any court or other Governmental Agency shall have been instituted or threatened by any party to restrain or prohibit Buyer or Parent from consummating the transactions contemplated by this Agreement.
