No Actions or Court Orders. No suit, Action, investigation, inquiry or other proceeding by any governmental body or other Person or legal or administrative proceeding shall have been instituted or threatened which seeks to restrain, enjoin, prevent the consummation of or otherwise affect the transactions contemplated by this Agreement or the Ancillary Agreements or which questions the validity or legality of the transactions contemplated hereby or thereby.

No Actions or Court Orders. No suit, Actionaction, investigation, inquiry or other proceeding by any governmental body or other Person or legal or administrative proceeding shall have been instituted or threatened which seeks to restrain, enjoin, prevent the consummation of or otherwise materially affect the transactions contemplated by this Agreement or the Ancillary Agreements or which questions the validity or legality of the transactions contemplated hereby or therebythe ability of Seller to transfer the Assets free and clear of any Encumbrances.

No suit, Actionaction, investigation, inquiry or other proceeding by any governmental body or other Person or legal or administrative proceeding shall have been instituted or threatened which seeks to restrain, enjoin, prevent the consummation of or otherwise affect the transactions contemplated by this Agreement or the Ancillary Agreements Transaction Documents or which questions the validity or legality of the transactions contemplated hereby or therebythereby or the ability of Seller to transfer the Securities free and clear of any Encumbrances.

No suit, Actionaction, investigation, inquiry or other proceeding by any governmental body Governmental Authority or other Person or legal or administrative proceeding shall have been instituted or threatened which seeks to restrain, enjoin, prevent the consummation of or otherwise affect the transactions contemplated by this Agreement or the Ancillary Agreements or which questions the validity or legality of the transactions contemplated hereby or therebythereby or the ability of the Company to transfer the Contributed Assets free and clear of any Encumbrances.

No suit, Action, investigation, inquiry or other proceeding Action by any governmental body or other Person or legal or administrative proceeding shall have been instituted or threatened which seeks to restrain, enjoin, prevent the consummation of or otherwise affect the transactions contemplated by this Agreement or the Ancillary Agreements or which questions the validity or legality of the transactions contemplated hereby or therebythe ability of the Sellers to transfer the Shares free and clear of any Encumbrances.

No suit, Actionaction, complaint, claim, investigation, inquiry or other proceeding by any governmental body Governmental Authority or other Person or legal or administrative proceeding shall have been instituted or threatened which seeks to restrain, enjoin, prevent the consummation of or otherwise affect the transactions contemplated by this Agreement or the Ancillary Related Agreements or which questions the validity or legality of the transactions contemplated hereby or thereby.
